By creating an account or using our Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Foundbase is an all-in-one platform designed for entrepreneurs and startups to manage their business operations, including:

• Project and task management
• Customer relationship management (CRM)
• Financial tracking and budgeting
• Document management
• Team collaboration tools
• Business insights and reporting

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

4.1 Account creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4.2 Account termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion.

5.1 Permitted use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit any harmful or malicious code
• Attempt to gain unauthorized access to the Service
• Interfere with the proper functioning of the Service

5.2 Content responsibility

You are solely responsible for all content you upload, post, or transmit through the Service. We do not claim ownership of your content, but you grant us a license to use it as necessary to provide the Service.

6.1 Free trial

We offer a free trial period for new users. The trial period and features available during the trial are subject to change at our discretion.

6.2 Paid subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. You can cancel your subscription at any time through your account settings.

6.3 Refunds

Refunds are generally not provided for subscription fees. However, we may consider refund requests on a case-by-case basis.

7.1 Our rights

The Service and its original content, features, and functionality are owned by Foundbase ApS and are protected by international copyright, trademark, and other intellectual property laws.

7.2 Your content

You retain ownership of all content you create and upload to the Service. By using the Service, you grant us a non-exclusive, royalty-free license to use, store, and display your content as necessary to provide the Service.

7.3 Customer references and branding

If you enter into these Terms on behalf of a business or organisation, you grant Foundbase ApS a non-exclusive, royalty-free permission to use that customer's publicly available business name, logo and trademarks solely to identify the customer as a user of Foundbase in our marketing. This includes our websites, social media, digital advertisements, sales presentations and printed materials, including brochures and roll-up banners. The permission covers only branding the customer is entitled to authorise and does not transfer ownership.

We will present the customer relationship accurately, respect brand guidelines provided to us and preserve the branding's appearance and proportions. We will not imply an endorsement, partnership or recommendation beyond the actual customer relationship. Separate written agreements and confidentiality restrictions take precedence. This permission does not cover confidential information, customer content, case studies, testimonials, quotes or claims about customer results. These require separate prior written approval. Personal names, photographs and other personal data require separate permission and an appropriate legal basis.

You may refuse or withdraw this permission at any time, without charge or any effect on your subscription, by emailing info@foundbase.io. On receipt, we will stop creating new marketing materials using your branding and, without undue delay and within 30 days, remove it from digital channels we control and stop displaying or distributing existing printed materials, including roll-up banners. Materials already distributed do not have to be recalled. The same cessation rules apply when the customer relationship ends, unless separately agreed in writing.

For customers who accepted an earlier version of our terms, this permission applies only after an authorised representative expressly accepts this clause or provides separate written permission. Publication of updated terms or continued use of the Service alone does not grant this permission.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use the Service.

By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by law, Foundbase ApS shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Our total liability to you for any damages arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Foundbase ApS and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt.

These Terms remain in effect until terminated by either you or us. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service will cease immediately, and we may delete your account and data.

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with Danish law. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Danish courts.
